1. ACCEPTANCE OF TERMS
 Links2Deals.net & LinksToDeals.net (hereinafter “Links2Deals”) is wholly owned and operated by eLinks LLC (hereinafter “eLinks”).  eLinks maintains Links2Deals to provide access, in the form of direct links, to its users from various merchants on the World Wide Web.  By using the Links2Deals web site, you are accepting the practices described in these Terms & Conditions.
2. DESCRIPTION OF SERVICE
Links2Deals provides users with access to offers that made available by various merchants on the internet.  Links2Deals searches for these offers to make them readily available to its guests and to facilitate their internet shopping experience. 
Links2Deals provide links to other World Wide Web sites or resources. Because Links2Deals has no control over such sites and resources maintained by third party merchants and vendors, you agree and acknowledge that Links2Deals is not responsible for the availability of such external sites or resources, and does not endorse and is not responsible or liable for any content, advertising, products or other materials on or available from such sites or resources. Links2Deals does not guarantee or make any representations about the availability, delivery or performance of any offer made by any third-party merchant or vendor. 
You further acknowledge and agree that Links2Deals shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with any third-party merchant or vendor’s services.  You understand and agree that the Links2Deals provides its services on an “As-Is” basis and that you are responsible for any may involve third-party fees (such as Internet service provider or airtime charges) necessary for you to access Links2Deals services.
3. YOUR REGISTRATION OBLIGATIONS
In consideration of your use of the Links2Deals services, you represent that you have the ability and capacity to form a contract under the laws of the State of Colorado.  Specifically, you represent that you are lawful age to form a contract and that you are competent to form a contract.  To allow Links2Deals to provider its services, you agree to provide true and accurate information about yourself when you register with Links2Deals.  You also agree to update any such information when it becomes necessary for you to do so.
If you provide any information that is untrue, inaccurate, not current or incomplete, or Links2Deals has reasonable grounds to suspect that such information is untrue, inaccurate, not current or incomplete, Links2Deals has the right to suspend or terminate your account and refuse any and all current or future use of the Service (or any portion thereof). All decisions concerning limited access to the site or termination of your account is at Links2Deals sole discretion and all decisions are final unless otherwise notified.
4. LINKS2DEALS PRIVACY POLICY
Registration Data and other information that Links2Deals obtains about you is subject to Links2 Deals Privacy Policy.   Your use of Links2Deals services serves as your acknowledgement that you have read Links2Deals Privacy Policy and agree with its terms.  The Privacy Policy is located here .
5. MEMBER ACCOUNT, PASSWORD AND SECURITY
Links2Deals shall assign you a member account and password during its registration policy.  Links2Deals recommends that you maintain this information in a secure manner.   You are responsible for maintaining the confidentiality of this information and are fully responsible for all activities that occur under your password or account.  Links2Deals shall not assume any responsibility for another person or entity’s unauthorized use of your password or account.  If you believe for any reason that another person or entity has obtained access to your account or password, please notify Links2Deals immediately.  Links2Deals will issue you a new member account and password within a reasonable period of time after receipt of any such notice, but you remain fully responsible for any prior unauthorized transactions that occur under your account or password.
6. MEMBER CONDUCT
Links2Deals expects its members to use reasonable care and to meet reasonable standards of conduct when using its services.  Accordingly, by using the Links2Deals site, you agree that you will not use the Links2Deals site for any improper purpose, including: (a) posting any information that a reasonable person would consider offensive or indecent; (b) posting any information that a reasonable person would consider threatening or harassing; (c) impersonation of any other person or entity; (d) representing that you are affiliated with any person or entity unless such an affiliation actually exists; (d) posting of any information that you do not have a right to disclose or that might otherwise be considered confidential, whether by contract, statute or other source of law; (e) to transmit any unauthorized advertising, mass solicitation, or spam; (f) transmission of any material for the purpose of transmitting a software virus or any other  form of computer code file or programs designed to adversely affect any computer hardware, software, or other electronic equipment; (g) transmission of any information for any unlawful purpose; or (h) any other conduct that Links2Deals deems inappropriate for any reason.  Any such determinations shall be made in Links2Deals sole discretion.  Links2Deals reserves the right to terminate any user’s ability to access Links2Deals services at any time in its sole discretion.  Your use of the Links2Deals site shall serve as your acknowledgement and agreement that Links2Deals may access, preserve and disclose your ISP address for lawful purposes, including to comply with legal process or to enforce its legal rights under these Terms of Service .
7. INDEMNITY
Your use of the Links2Deals site shall serve as your acknowledgement and agreement that you will indemnify and hold harmless Links2Deals, as well as its officers, agents, employees and partners, from any third-party claim or demand, including reasonable attorney fees and costs, arising from your use of the Links2Deals site.
8. GENERAL PRACTICES REGARDING USE
You acknowledge that Links2Deals may establish general practices and limitations upon your use of its services, including limitations upon access, storage, and disclosure of information.  Links2Deals shall post these general practices and limitations upon its site and your continued usage of the site constitutes your acknowledgment of and agreement to those terms.  You further acknowledge that Links2Deals reserves the right to modify these general practices and limitations from time to time in its sole discretion.
10. MODIFICATIONS TO SERVICE
Links2Deals reserves the right at any time and from time to time to modify or discontinue, temporarily or permanently, the Service (or any part thereof) with or without notice. You agree that Links2Deals shall not be liable to you or to any third party for any modification, suspension or discontinuance of the Service.

11. TERMINATION OF USER ACCOUNT (I.E. BANNING AN ACCOUNT)
From time to time, it may be necessary for Links2Deals to terminate a user’s account.  Any such termination shall be in Links2Deals sole discretion, so long as it is not for a discriminatory or unlawful reason, and not a reviewable decision.  In the event that Links2Deals terminates your account, you acknowledge and agree that Links2Deals shall not be liable to you or any third party.
12. DEALINGS WITH THIRD-PARTIES
Links2Deals provide links to other World Wide Web sites or resources. Because Links2Deals has no control over such sites and resources maintained by third party merchants and vendors, you agree and acknowledge that Links2Deals is not responsible for the availability of such external sites or resources, and does not endorse and is not responsible or liable for any content, advertising, products or other materials on or available from such sites or resources. Links2Deals does not guarantee or make any representations about the availability, delivery or performance of any offer made by any third-party merchant or vendor.  You further acknowledge and agree that Links2Deals shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with any third-party merchant or vendor’s services..
13. DISCLAIMER OF WARRANTIES

You expressly understand and agree that:

  1. Your use of Links2Deals is at your sole risk.
  2.  The service is provided on an "AS IS" basis.
  3. Links2Deals expressly disclaims all warranties of any kind, whether express or implied including, but not limited to the implied warranties of merchantability and fitness for a particular purpose.

14. LIMITATION OF LIABILITY
You expressly understand and agree that Links2Deals shall not be liable to you for any direct, indirect, incidental, special, consequential or exemplary damages, including, but not limited to, damages for loss of profits, goodwill, use, data or other intangible losses (even if Links2Deals has been advised of the possibility of such damages), resulting from: (i) the use or the inability to use the service; (ii) the cost of procurement of substitute goods and services resulting from any goods, data, information or services purchased or obtained or messages received or transactions entered into through or from the service; (iii) unauthorized access to or alteration of your transmissions or data; (iv) statements or conduct of any third party on the service; or (v) any other matter relating to the service.
15. EXCLUSIONS AND LIMITATIONS
Some jurisdictions do not allow the exclusion of certain warranties or the limitation or exclusion of liability for incidental or consequential damages. Accordingly, some of the above limitations of Sections 15 and 16 may not apply to you.
16. NOTICE
Links2Deals may, but is not required to, provide you with notices, including those regarding changes to the TOS, by email, regular mail, or postings on the Service. The obligation is solely on you, the user, to check for any updates to this TOS at any time.
17. NOTICE AND PROCEDURE FOR MAKING CLAIMS OF COPYRIGHT OR INTELLECTUAL PROPERTY INFRINGEMENT
Links2Deals respects the intellectual property of others, and we ask our users to do the same.  If you believe that your work has been copied in a way that constitutes copyright infringement, or your intellectual property rights have been otherwise violated, please contact Links2Deals immediately through the “Contact Us” section on the site.
18. GENERAL INFORMATION
Entire Agreement. The TOS constitutes the entire agreement between you and Links2Deals, subject to modification by Links2Deals through appropriate posting on its site.
Forum. All disputes arising out of or relating to your use of Links2Deals or these Terms of Service shall have the El Paso County District County for the State of Colorado as the sole entity with subject matter jurisdiction or personal jurisdiction.   By your use of Links2Deals, you acknowledge and agree that this venue is appropriate for the resolution any dispute and irrevocably waive the ability to bring any legal proceeding in any other venue or forum.  You also agree and acknowledge that you will not be prejudiced in any way by this forum selection clause.  You also agree and acknowledge that any transaction occurring between you and Links2Deals shall be considered to have arisen solely in El Paso County, State of Colorado.
Severability of Terms. In the event that any provision of these Terms of Service shall be determined as unenforceable by a court of competent jurisdiction, you and Links2Deals agree that the court should sever that term from the Terms of Service while continuing to give effect to the remaining terms of the Terms of Service.
Non-Transferability. You agree that your Links2Deals account is non-transferable and any rights to your Links2Deals ID or contents within your account terminate upon your death.
19. EFFECTIVE DATE
This TOS is effective between you and Links2Deals as of your first use of Links2Deals or March 21st, 2007, whichever date is earlier.
